1. General Provisions and Acceptance
1.1. Acceptance. By using the Site, making a purchase, or downloading any Graphic Content (hereinafter, the “Product”), you agree to be bound by these Terms and Conditions (the “Terms”). 1.2. Parties. The owner of the Site and creator of the Products is OneGuyDesigns (the “Owner”). 1.3. Legal Force. These Terms constitute a legally binding agreement between you and the Owner.
2. Graphic Content Licensing (Commercial Focus)
All Products on this Site are sold with a Commercial License.
2.1. Ownership. All copyrights and intellectual property rights in the Products remain exclusively with the Owner. The Buyer obtains only a right to use (a License), but not ownership of the graphic file itself. 2.2. Standard Commercial License. The purchase of any Product automatically grants you a Standard Commercial License, which permits:
- Use in an unlimited number of Personal Projects.
- Use in Commercial Projects (websites, advertising, print) with a total end-product circulation or sales volume of up to 500 (Five Hundred) units/sales.
- Limited Print-on-Demand (POD) usage is allowed, provided the sales of the final physical goods do not exceed 500 units. 2.3. Extended Commercial License. For sales volumes exceeding 500 units, as well as for unlimited Print-on-Demand (POD) usage, you are required to purchase the Extended Commercial License. Details on this license are available at [LINK TO LICENSES PAGE]. 2.4. Modification. You are permitted to alter or adapt the graphic to create a new, final end-product.
3. Strictly Prohibited Usage
Regardless of the type of license purchased, the following are strictly prohibited:
3.1. Resale of File. Selling, sublicensing, transferring, or distributing the original digital Product file, or a slightly modified version thereof. 3.2. Creation of Digital Competitors. Using the Product to create other digital resources (e.g., clip art, digital kits, templates) that directly compete with the Owner’s original Product. 3.3. Free Distribution. Posting the Product (or a slightly modified version) for free public download or distribution. 3.4. Trademarks. Using the Product (or any part thereof) as a logo, trademark, or service mark without entering into a separate Exclusive Usage Agreement with the Owner.
4. Financial Terms and Refund Policy
4.1. Pricing. Product prices are listed in USD and are subject to change without notice. 4.2. Refunds. Due to the nature of the Products being digital goods that cannot be returned once downloaded, all sales are final and non-refundable. A refund may only be considered in exceptional circumstances (e.g., a verifiable and unfixable technical defect).
5. Disclaimer of Warranties and Limitation of Liability
5.1. Disclaimer. The Products and the Site are provided on an “as is” and “as available” basis without any warranties. 5.2. Liability. The Owner shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, arising out of your use or inability to use the Product or the Site.
6. Governing Law
6.1. Jurisdiction. These Terms shall be governed by and construed in accordance with the laws of Moldova.
